BITCOIN RECORD

WAIVER, INDEMNIFICATION, WARRANTY AND GRANT OF RIGHTS 

Read these terms carefully before you submit your song to our competition. By submitting your song to the competition and checking the box below, you are legally binding yourself to these terms. Note you must be of legal age in your place of residence to enter this competition and agree to these terms. If you are not of legal age, you must have a parent or guardian agree to the terms on your behalf. If you are later found to not be qualified to enter due to age or any other factors, you will be disqualified. 


GRANT OF RIGHT

SYou understand and agree that by submitting your song (the Work) to our competition, you grant an exclusive worldwide license for five (5) years to the Publisher and its respective successors, licensees, and assigns, to reproduce, distribute, promote, and sell the Work in vinyl record format, specifically, on the vinyl record the Bitcoin Record. You understand and agree that you retain all other rights, title, and interest in the Work. You understand and agree that after 5 years from date of initial release of the Bitcoin Record by the Publisher, this license will terminate and all rights granted here will revert to you unless specified otherwise in writing by the Parties. You understand and agree that during its five-year term, this license will be irrevocable. 

REPRESENTATIONS AND WARRANTIES

You represent and warrant that: (a) the Work has been created solely by you, (b) You are the owner of all right, title and interest in the the Work and all intellectual property rights protecting it; (c) the Work and any intellectual property rights protecting it will be free and clear of all encumbrances, including, without limitation, security interests, licenses, liens, charges or other restrictions; (d) the use, reproduction, distribution, or modification of the Work will not violate the rights of any third parties in the Work including publicity, privacy and copyrights; (e) the Work will not be in the public domain; and (f) you have the full power and authority to make and enter into this Agreement. You agree to defend, indemnify and hold harmless the Publisher, it officers, directors and employees for any claims, suits or proceedings alleging a breach of these warranties.  


WAIVER AND INDEMNIFICATION

You agree to indemnify, defend and hold Publisher, its affiliates, employees and agents harmless from and against any and all losses, liabilities, damages, injuries, claims, suits, judgments, causes of action and expenses (including reasonable attorneys’ fees and costs of litigation) suffered or incurred by Publisher or its officers, directors, employees, agents, successors and assigns as a result of, directly or indirectly, (a) any violation by you of local, state or federal rules, regulations or statutes; (b) unauthorized disclosure of Confidential Information; (c) any breach by you of the terms of this competition; (d) any willful acts, errors or omissions by you performed in the course and scope of this licensing agreement; and (e) any taxes or any other liabilities or obligations incurred by you or your affiliates in connection with the Work.  You hereby release Publisher from and against all claims, suits, actions, damages, costs and expenses arising out of or in connection with the Work provided by you under the terms of this license.  


NON-EMBARGOED SANCTIONED RESIDENCY

You warrant that you are not a resident of any country embargoed or sanctioned by the United States including but not limited to: Cuba, Iran, North Korea, Sudan, Syria, The Balkans, Belarus, Burma/Myanmar, Burundi, Central African Republic, Democratic Republic of the Congo, Iraq, Lebanon, Libya, Mali, Nicaragua, Somalia, Ukraine/Russia, Venezuela, Yemen or Zimbabwe.  


COMPLIANCE WITH COMPANY POLICIES

You warrant that you have read, understand, and will comply with Publisher’s terms and conditions for website use, event attendance, code of conduct, social media policy and all else applicable as found here and with company’s AI policy above. GOVERNING LAWThese terms and the license you grant Publisher under them will be enforced in accordance with the laws of the State of Delaware. Jurisdiction and venue for purposes of this agreement shall be exclusively with the state and federal courts sitting in Nashville, Davidson County, Tennessee. The terms and conditions set forth herein may only be amended or modified in a subsequent writing signed by the Parties hereto. /_/ I HAVE READ, UNDERSTAND AND AGREE to comply with the terms and conditions above.
